This hands-on course offers a practical and comprehensive look at how cross-border conversions operate under EU and Cyprus law, with a primary focus on the corporate and procedural mechanics of the process. From the basic legal principles to the finer points of procedure, the course guides you through the lifecycle of a cross-border conversion, when it is used, how it is structured, how it is carried out, and how legal continuity is preserved at the end of the process.
Participants will explore the EU Directive 2019/2121 framework and its transposition into Cyprus law, gain insight into real-world application, and learn how to guide a company through both an inbound conversion into Cyprus and an outbound conversion out of Cyprus. Participants will also look closely at the procedural steps, the documentation typically required, and the safeguards protecting members, creditors and employees.
The course combines legal analysis with practical examples and procedural guidance, ensuring that Participants are equipped to handle cross-border conversions confidently in practice.
