Modules

• Introduction to the Cyprus Companies Law (types of companies, main characteristics, differences between public and private companies& between LLC and LLP); 
• Corporate bodies: shareholders vs directors. Who are shareholders? Their duties and liability. Who are directors? Their duties and liability; 
• Sole director, board of directors, managing director (key principles of appointment and decision making); 
• Shareholder Matters: Why shareholders can’t act for and on behalf of a company, acquire rights, bear obligations, issue powers of attorney; 
• Share capital, difference between authorized und issued share capital, why share should be paid, class of shares, class rights for different class of shares, can shareholders have no voting rights; 
• Raising capital: equity and loans (=bonds), increase and allotment of shares etc.; 
• Redemption and reduction of share capital; 
• Changes in the officers: the main focus is on whose instructions and resolutions changes should be done; 
• Dividends: conditions when dividends can they be paid, by decision of which body can they be paid, why the director's declaration and reporting are required, who is the recipient of dividends, can dividends be paid to a third party by a shareholder's resolution
• Main points to consider when drafting or reviewing a loan agreement; 
• Pledges and charges.
